Megabank: Unique Business Model

The third "Megabank" PLC bonds issue was registered at the State Commission of the security and stock market at November 23, 2007 year. The total issue sum is 200 million hryvnas. There are two kinds of the bonds – "E" and "F" kinds. The "Troika Dialog Ukraine" PLC is the issue Underwriter and is a part of the biggest Russian investment company "Troika Dialog" group.

The "E" series principal conditions:

• The issue sum – 100 000 000,00 hryvnas;
• The bonds form – documental free;
• The E series bonds placement beginning date – December 10, 2007 year;
• The E series bonds placement end date – March 11, 2008 year;
• The bonds turnover term – 1096 calendar days from December 10, 2007 year to December 10, 2010 year;
• The coupon rate – 13,75% (the rate for the first – fourth, fifth – eight, ninth – twelve bonds percentage period is established by the Issuer Supervisory Council);
• The coupon payment – quarterly;
• The offers quantity – 2 (December 8, 2008 year and December 7, 2009 year);
• Additional support – the bonds are ensured by the third persons responsibility voluntary insurance contracts – of the bonds revenue and base debt sum Issuer underpayment risks insurance with the "Lemma" Insurance company.

The "F" series principal conditions:

• The issue sum – 100 000 000,00 hryvnas;
• The bonds form – documental free;
• The F series bonds placement beginning date – February 4, 2008 year;
• The F series bonds placement end date – May 5, 2008 year;
• The turnover term – 1096 calendar days from February 4, 2008 year to February 4, 2011 year;
• The coupon rate – 13,75% (the rate for the first – fourth, fifth – eight, ninth – twelve bonds percentage period is established by the Issuer Supervisory Council);
• The coupon payment – quarterly;
• The offers quantity – 2 (February 2, 2009 year and February 1, 2010 year);
• Additional support – without additional support.

The bank bonds are estimated by the "Credit-Raiting" Itd. at the "uaA-" level and the forecast is steady.
